This Agreement is between OnePageCRM (“Company”) and the partner (“Partner”). By applying to and participating in the OnePageCRM Channel Partner Program, the Partner agrees to the following terms:
1. Purpose
The Partner is participating in OnePageCRM’s Channel Partner Program. The Program provides visibility through listing on the Company’s website and access to certain partner benefits, as described below.
2. No Commission / No Revenue Share
This Agreement does not create any commission, referral fee, or revenue-sharing arrangement. The Partner is free to promote OnePageCRM but is not entitled to compensation from the Company under this Agreement.
3. Benefits
The Partner may receive benefits as described on the OnePageCRM website for the Channel Partner Program (“Your OnePageCRM Partner Privileges”).
These may include listing in the OnePageCRM Experts directory, training materials, product updates, and partner badges.
The Company may introduce a tiered structure for benefits. Eligibility for different tiers will be determined by the criteria published on the OnePageCRM website.
The Company reserves the right to update, amend, or discontinue benefits and tiers at its discretion. Any such updates will be reflected on the Program’s web page.
4. Responsibilities of the Partner
4.1. The Partner acts as an independent contractor, not as an employee, agent, or representative of the Company. Nothing in this Agreement authorises the Partner to make commitments, contracts, or representations on behalf of the Company.
4.2. The Partner must not misrepresent their relationship with the Company, nor make any false, misleading, or inaccurate statements about the Company’s products, services, or offerings.
4.3. The Partner is solely responsible for any services they provide to clients (e.g., consulting, setup, integrations, digital strategy). The Company assumes no liability for such services.
4.4. The Partner may use the OnePageCRM name, logo, and partner badge only in accordance with brand guidelines provided by the Company. The Partner must not use Company branding in a way that is misleading, defamatory, or unlawful.
4.5. Partner agrees to keep confidential any non-public information provided by the Company, including but not limited to product roadmaps or training content. This obligation continues after termination of this Agreement.
4.6. Partner agrees not to actively solicit existing OnePageCRM customers for competing CRM solutions.
4.7. Partner must provide services in a professional manner consistent with industry standards. The Company reserves the right to suspend or remove any Partner whose conduct damages the Company’s reputation or customer experience.
5. Data Protection and Compliance
Partner is solely responsible for compliance with all applicable data protection and privacy laws and regulations, including but not limited to the EU General Data Protection Regulation (GDPR), the UK Data Protection Act, the California Consumer Privacy Act (CCPA), and any other relevant regional or local legislation, in connection with services provided to clients.
6. Admission and Term
Application to the Channel Partner Program does not guarantee acceptance. Admission and continued participation are at the sole discretion of the Company, which may accept, reject, suspend, or remove any applicant or Partner at any time without obligation to provide reasons.
Acceptance into the Program will be confirmed in writing by the Company (e.g., by email). This Agreement begins on the date of such confirmation and continues until terminated by either party.
Acceptance into the Program will also include enrollment in the Partner Newsletter, which provides product updates, partner news, and program information. Partners may unsubscribe from the newsletter at any time.
7. Termination
7.1. Either party may terminate this Agreement and the Partner’s participation in the Program at any time by giving written notice to the other party.
7.2. OnePageCRM may terminate this Agreement and the Partner’s participation in the Program immediately, at its sole discretion, if it believes that:
(a) the Partner has breached any term of this Agreement;
(b) the standing or reputation of OnePageCRM, its business, or its products is at risk; or
(c) such termination is otherwise in the best interests of OnePageCRM’s business.
7.3. Upon termination, the Partner shall immediately cease all promotion of OnePageCRM, remove all references to OnePageCRM from its materials, and return or destroy all confidential information in its possession.
8. No Responsibility, Limitation of Liability, and Indemnity
8.1. OnePageCRM is not responsible for any services provided by the Partner to third parties, or for any failure by the Partner to deliver such services. References to the Partner, including links, announcements, or responses to inquiries, are provided solely for informational purposes.
8.2. To the fullest extent permitted by law, OnePageCRM shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages arising out of or relating to the Partner’s services, actions, or omissions.
8.3. The Partner agrees to indemnify, defend, and hold harmless OnePageCRM, its affiliates, officers, employees, and agents against all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:
(a) the Partner’s services or representations to third parties; or
(b) any breach of this Agreement by the Partner.
This obligation shall survive termination of the Agreement.
9. Changes to Agreement
OnePageCRM reserves the right to change, modify, or update this Agreement at any time. All such changes are effective immediately upon posting on the OnePageCRM website. The Partner’s continued participation in the Program following any such changes constitutes acceptance of the revised terms. Partners are encouraged to review this Agreement periodically to remain informed of current terms.
10. Governing Law
This Agreement shall be governed by and construed under the laws of Ireland, and disputes shall be subject to the exclusive jurisdiction of the Irish courts.
Acceptance
By applying to and participating in the OnePageCRM Channel Partner Program, the Partner acknowledges that they have read, understood, and agreed to these terms.
